NaviSite’s Audit Committee provides several important support functions for the company, including:

• Assisting the Board of Directors in fulfilling its oversight responsibilities by reviewing the financial information which will be provided to the stockholders and others.
• Reviewing the systems of internal controls which management and the Board of Directors have established.
• Selecting and reviewing the performance of independent auditors.
• Overseeing the Company’s accounting and financial reporting processes and the audits of the Company’s financial statements.
